Requirements

The Senior Legal Counsel will be primarily responsible for providing advice and support to the Orchard group in relation to general company/commercial matters such as commercial contracts (including strategic collaboration agreements, manufacturing and supply agreements, distribution agreements, license agreements, master services agreements, consulting agreements, material transfer agreements, non-disclosure agreements), contractual disputes, data privacy matters, trade mark portfolio management, corporate compliance matters as well as providing support to the General Counsel on company secretarial matters as required. The role will suit an individual who is either working in-house at present or who has the desire to work in-house and who is willing to grow and develop with the business in a collegiate “start-up” environment. The role will primarily support our EMEA operations but will also be required to support other regions (e.g. the US as required).

Responsibilities

  • Advising, drafting and negotiating a range of company/commercial contracts, including:
    • Strategic collaboration agreements
    • R&D, manufacturing and supply, development and distribution agreements
    • IP License agreements
    • Master services agreements
  • General business agreements such as consulting agreements, material transfer agreements and non-disclosure agreements
  • Management of disputes/litigation matters
  • Management of the Trademark portfolio (filing, prosecution and maintenance)
  • Providing advice and support on a broad range of subjects including data privacy, employment and regulatory matters
  • Providing company secretarial support as required, for example company incorporations, share scheme support etc. as required
  • Providing advice and support on miscellaneous compliance-related matters (including promotional materials review, corporate compliance policies such as insider trading, anti-bribery etc.)
  • Working closely with other departments and teams across the business, including Business Development & Alliance Management, Medical, Regulatory, HR, R&D, Technical Operations and Commercial to provide to provide general legal advice and support as well as ensuring that such departments follow internal processes and best practice as applicable
  • Counsel senior managers on complex legal matters affecting their functional areas.
  • Assisting with legal training initiatives in order to increase employee understanding of legal issues and processes
  • Instructing and managing external counsel when required

Job requirements

  • UK qualified lawyer with extensive relevant work experience in a law firm and/or a biotech/pharmaceutical company (ideally both) in a similar role, with a strong track-record of success
  • Willingness to travel as needed within Europe as well as to the US
  • Exceptional interpersonal and relationship-building skills, high emotional intelligence; ability to successfully influence and effectively work across functions and personalities
  • High ethical standards and excellent legal judgment when making decisions; always considers the relevance/impact of each decision on the business; excellent organization and workload management skills essential
  • Excellent attention to detail with ability to multi-task
  • Flexible and able to successfully navigate ambiguity and succeed in a rapidly changing, fast-paced, deadline-driven environment with multiple priorities
  • High energy, motivated and passionate about getting results and growing our company every day
  • BA/LLB or equivalent
